Terms of Service

1. Acceptance of Terms
These Terms of Service ("Terms") govern your access to and use of WABizSuite (the "Service"), operated by Dristi Technologies & IT Services Pvt. Ltd., a technology company based in Pune, Maharashtra, India ("we", "our", or "us").
By creating an account or using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms. If you do not agree to these Terms, do not use the Service.
2. Description of Service
WABizSuite is a WhatsApp Business platform that provides tools for customer engagement, including but not limited to:
A shared team inbox for managing WhatsApp conversations.
Bulk campaign messaging to contact lists.
A visual chatbot builder for automated conversation flows.
Automation rules for keyword-based replies and workflow triggers.
Contact management with lists, tags, and custom attributes.
Message template management for WhatsApp-approved templates.
Analytics and reporting on message delivery and campaign performance.
RESTful API access for programmatic integration.
The Service operates through the official WhatsApp Business Cloud API provided by Meta Platforms, Inc. Availability of certain features may depend on your subscription plan and Meta's API capabilities.
3. Account Registration
To use WABizSuite, you must create an account and provide accurate, complete, and current information. You are responsible for:
Maintaining the confidentiality of your account credentials.
All activity that occurs under your account.
Notifying us immediately of any unauthorized use of your account.
You must be at least 18 years old to create an account. Each account is for a single business entity. You may not share your account credentials with third parties or create multiple accounts for the same business without our written consent.
We reserve the right to suspend or terminate accounts that provide false information, violate these Terms, or remain inactive for an extended period.
4. Acceptable Use
You agree to use WABizSuite in compliance with all applicable laws, regulations, and WhatsApp's Business Policy and Commerce Policy. You shall not:
Send unsolicited messages (spam) or messages to recipients who have not opted in to receive communications from your business.
Use the Service to send messages containing illegal, harmful, threatening, abusive, defamatory, or otherwise objectionable content.
Attempt to circumvent WhatsApp's messaging limits, template approval processes, or quality rating systems.
Use the Service to impersonate another person or entity, or misrepresent your affiliation with any person or entity.
Upload or transmit any viruses, malware, or other harmful code through the Service.
Interfere with or disrupt the integrity or performance of the Service or its underlying infrastructure.
Reverse-engineer, decompile, or attempt to extract the source code of the Service.
Use the Service for any illegal purpose or in violation of any local, state, national, or international law.
Violation of these acceptable use terms may result in immediate suspension or termination of your account without notice or refund.
5. Payment Terms
WABizSuite operates on a subscription model with the following terms:
All prices are listed in Indian Rupees (INR) and are exclusive of applicable taxes (GST at 18%).
Subscriptions are billed monthly. Payment is due at the beginning of each billing cycle.
We accept payment via credit card, debit card, UPI, and net banking through our authorized payment processor.
If a payment fails, we will attempt to charge the payment method on file up to three times. If all attempts fail, your account will be downgraded to a restricted state until payment is resolved.
Refunds are available within 7 days of purchase for new subscriptions only. Renewals and upgrades are non-refundable. To request a refund, contact support@wabizsuite.com.
We reserve the right to change our pricing with 30 days advance notice. Price changes will take effect at the start of your next billing cycle following the notice period.
Meta conversation charges for WhatsApp messages are billed separately by Meta and are not included in WABizSuite subscription pricing.
6. Intellectual Property
The Service, including its design, features, code, documentation, trademarks, logos, and all related intellectual property, is owned by Dristi Technologies & IT Services Pvt. Ltd. and is protected under Indian and international intellectual property laws.
We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your business purposes in accordance with your subscription plan and these Terms.
You retain ownership of all content you create or upload to the Service, including contact data, message templates, chatbot flows, and campaign content. By uploading content, you grant us a limited license to process and store it as necessary to provide the Service.
You may not copy, modify, distribute, sell, or lease any part of the Service or its underlying technology without our prior written consent.
7. Limitation of Liability
To the maximum extent permitted by applicable law:
WABizSuite is provided on an "as is" and "as available" basis without warranties of any kind, whether express, implied, or statutory.
We do not warrant that the Service will be uninterrupted, error-free, or secure, or that any defects will be corrected.
We are not liable for any actions taken by Meta, WhatsApp, or third-party service providers, including but not limited to changes to the WhatsApp Business API, account restrictions, or message delivery failures.
Our total liability for any claim arising from or related to the Service shall not exceed the amount you paid to us in the 12 months preceding the claim.
In no event shall we be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, regardless of the cause of action or theory of liability.
Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability. In such cases, our liability shall be limited to the maximum extent permitted by law.
8. Termination
You may cancel your subscription and close your account at any time from your account settings or by contacting support@wabizsuite.com.
Upon cancellation, your access to the Service will continue until the end of your current billing period. After that, your account will be deactivated.
We retain your data for 90 days after account closure to facilitate reactivation. After 90 days, all your data — including contacts, conversations, templates, and chatbot flows — will be permanently deleted.
We may suspend or terminate your account immediately and without notice if you violate these Terms, engage in fraudulent activity, or if required to do so by law or by Meta's policies.
Sections relating to Intellectual Property, Limitation of Liability, Governing Law, and Dispute Resolution shall survive termination of these Terms.
9. Governing Law
These Terms shall be governed by and construed in accordance with the laws of India, without regard to conflict of law principles.
The Service is operated from Pune, Maharashtra, India. You agree that the use of the Service shall be deemed to have occurred in the state of Maharashtra, India, regardless of where you access the Service from.
10. Dispute Resolution
Any dispute, controversy, or claim arising out of or relating to these Terms or the Service shall be resolved as follows:
Informal Resolution: You agree to first attempt to resolve any dispute informally by contacting us at support@wabizsuite.com. We will try to resolve the matter within 30 days.
Arbitration: If informal resolution fails, the dispute shall be referred to and finally resolved by arbitration in accordance with the Arbitration and Conciliation Act, 1996, as amended. The arbitration shall be conducted by a sole arbitrator in Pune, Maharashtra, India. The language of arbitration shall be English.
Jurisdiction: Subject to the arbitration clause above, the courts of Pune, Maharashtra, India shall have exclusive jurisdiction over any legal proceedings arising from these Terms.
You agree that any claim or cause of action arising from the Service must be filed within one year after such claim or cause of action arose, or it shall be forever barred.
11. Changes to These Terms
We reserve the right to modify these Terms at any time. When we make material changes, we will notify you by email or through a prominent notice on our platform at least 30 days before the changes take effect.
Your continued use of the Service after the effective date of any changes constitutes your acceptance of the updated Terms. If you do not agree with the changes, you must stop using the Service and cancel your subscription before the effective date.
